In no event shall the teacher be liable to the student for any indirect, consequential or special damages.

Purchases and Online Commerce. If paying by debit card, or credit card, you give us permission to automatically charge your credit or debit card as payment for your Program, Product or Service without any additional authorization, for which you will receive an electronic receipt. In the event that payment is not received by the date due, you will have a three (3) day grace period to make the payment otherwise the Program, Product or Services will not continue and we reserve the right to cease your access immediately and permanently.

If you fail to make payment in a timely manner in accordance with these Terms of Use or voluntarily decide to withdraw from our Programs, Products or Services at any time or for any reason whatsoever, you still will remain fully responsible for the full cost of the Programs, Products and/or Services.

If you are taking a course in conjunction with Empowerment Mentorship, you agree to the following:

This Empowerment Mentorship/Coaching Agreement (this “Agreement”) is entered into by and between you, the client signed below (hereinafter “you” or “your” as the context provides and Dr. Rachel Greenberg or "The Numinous Path" (hereinafter referred to as “TNP” or “me” or “I”).Your joining the program indicates that you have read this Agreement, discussed any questions with me, and agree to abide by the policies in this Agreement.

In addition to being a mentor and coach, I am also a Licensed Psychologist in the State of California. I have training and experience in diagnosing and treating emotional problems and psychological issues. While there are some similarities between coaching and psychotherapy, they are very different activities and it is important that you understand the differences between them. Psychotherapy is a health care service and is usually reimbursable through health insurance policies. This is not true for coaching. Both coaching and psychotherapy utilize knowledge of human behavior, motivation and behavioral change, and interactive counseling techniques. The major differences are in the goals, focus, and level of professional responsibility. The focus of coaching is the development and implementation of strategies to help clients identify goals of enhanced performance and personal satisfaction.

As the mentor and primary coach for this program, I will set the agenda based on the course’s curriculum. The success of the enterprise depends on your willingness to take risks and try new approaches based on the program’s recommendations and guidance. The relationship is designed to be more direct and challenging. You can count on me to be honest and straightforward, asking powerful questions and using challenging techniques to move you forward. You are expected to evaluate progress and when coaching is not working as you wish, you should immediately inform me so we can both take steps to correct the problem. Because of these differences, the roles of coach and psychotherapist are often in potential conflict and I believe that, under most circumstances, it is ethically inappropriate for one to play both roles with a client simultaneously.

This means that if either of us recognizes that you have a problem that would benefit from psychotherapeutic intervention, I will encourage you to seek appropriate resources.

1. Description of Services. TNP will provide group empowerment mentorship and coaching services designed to help you develop a clear strategy for trusting your own authority and owning your power. All sessions are 60 minutes long and are provided remotely through an online call. Coaching services may involve guidance on TNP's workshop, mindfulness, meditation, breath-work, and other psycho-spiritual techniques (collectively, “Coaching”). Coaching may address specific personal projects, life balance, communication skills, relationship fulfillment, job performance, and satisfaction, or general conditions in your life, business, or relationships. Coaching utilizes personal strategic planning, values clarification, brainstorming, motivational counseling, and other techniques.

2. Confidentiality. All information disclosed within Coaching sessions is confidential between you and me, and will not be revealed to any third parties without written or verbal permission except where disclosure is required by law and ethical standards. Disclosure may be required in the following circumstances: (a) where there is a reasonable suspicion of child abuse; (b) where this is a reasonable suspicion of elder abuse; (c) where this is a reasonable suspicion that you present a danger to yourself or others; and/or (d) where there is reasonable suspicion that you present a danger to myself unless protective measures are taken.

3. Fees. You have agreed to pay the fees for the program and understand there are no refunds. Coaching fees must be paid in advance to participating in the program unless otherwise agreed upon (e.g. payment plan or scholarship)

4. Missed Sessions. You understand that if you miss a live call, you will be sent the replay. No refunds will be granted for missed sessions or under any other circumstances. TNP reserves the right to reschedule Coaching sessions and will coordinate a new time with you for such a session. No refunds will be granted for sessions rescheduled by TNP.

5. Disclaimer. You hereby acknowledge and agree that the following warnings and disclaimers shall apply to all Coaching:

You acknowledge that coaching is a comprehensive process that may involve different areas of your life, including work, finances, health, relationships, education, and recreation. You agree that deciding how to handle these issues, incorporate coaching principles into those areas, and implementing choices is solely your responsibility.

You acknowledge and agree that when taking any action or participating in any activity, routine or program that may be described in the Coaching there is the possibility of physical injury, emotional distress and/or death, and you assume the risk and responsibility for any such results.

TNP Coaching is not meant to be a substitute for Professional Advice from your Professional Care Provider and I make no warranties, express or implied, as to the completeness, accuracy, or appropriateness for any purpose of any information or instruction provided through the Coaching. You are encouraged to consult with your healthcare provider or other Professional Care Provider with any questions or concerns you may have regarding any health condition or any other Condition that you may have before taking any action or engaging in any activity or program, including TNP's Coaching.

You understand that in order to enhance the coaching relationship, you agree to communicate honestly, be open to feedback and assistance, do your homework, be the active participant in your goals, and create the time and energy to participate fully in the program.

6. Discontinuance of Services. Your decision to undergo coaching is voluntary. You understand that you are free to discontinue at any time subject to my cancellation policy.

7. Limitation of Liability. Except as expressly provided in this Agreement, the Coach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services negotiated,agreed upon and rendered. In no event shall the Coach be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, the Coach’s entire liability under this Agreement, and the Client’s exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date.

8. Entire Agreement. This document reflects the entire agreement between you and TNP, and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both you and TNP.

9. Governing Law. The validity, interpretation, construction, and performance of this Agreement shall be governed by the laws of the State of California.

10. Dispute Resolution. If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the parties agree to attempt to mediate in good faith for up to 30 days after notice given of the dispute. If the dispute is not so resolved, and in the event of legal action, either party may commence arbitration proceedings as defined below.

11. Binding Effect. This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.

12. Severability. If a court of law holds any provision of this Agreement to be illegal, invalid, or unenforceable, such provision shall be deemed amended to achieve the effect that is as near as possible to that provided by the original provision and the legality, validity, and enforceability of the remaining provisions of this Agreement shall not be affected.

13. Waiver. The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.

14. Questions. You acknowledge that you have had the opportunity to review this Agreement and its terms and that TNP has spoken to you about the contents of this Agreement and answered all your questions, if any, to your satisfaction.
